跨境支付沙盒服务协议Cross-border Payment Sandbox Service Agreement

This service is a "software / technical testing service" providing a payment-interface integration testing environment. TOSCM provides solely a software testing sandbox for the Customer to integrate, debug and validate its payment interfaces. This service does not constitute, and shall not be construed as, a stored value facility (SVF) under the Payment Systems and Stored Value Facilities Ordinance (Cap. 584), a money service (MSO) under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615), or any licensed payment or acquiring service.

TOSCM does not hold, take custody of, pool, or settle any funds for the Customer or its end-users. Any monies arising within the testing sandbox do not constitute the Customer's business revenue, and TOSCM performs no collection, disbursement or settlement function in respect of such monies.

The RM 199 paid by the Customer is a "technical service onboarding fee," purchasing the API Key and the right to use the testing environment. Once the service is activated (i.e. the API Key is issued), delivery is deemed complete and this onboarding fee is non-refundable. Test-transaction monies (small amounts) arising within the sandbox are for technical-validation purposes only, are refundable, and do not represent any real commercial sale or end-user consumption.

This environment is provided for the Customer to conduct integration testing prior to obtaining its own payment channel or relevant licence. The Customer shall migrate to its own channel once obtained, and shall not use this environment to collect turnover from its real end-users.

The Customer shall not use this environment to process actual consumption, top-ups or settlement of its real end-users, nor for money laundering, illicit cash-out, or circumvention of any regulatory requirement. Upon any breach, TOSCM may immediately terminate the service and reserves all rights to pursue remedies at law.

The Customer is solely responsible for ensuring that its business holds all qualifications and licences required for lawful operation and payment activities in its place of operation (including but not limited to Malaysia, China). TOSCM is not responsible for the legality or compliance of the Customer's business.

TOSCM is responsible only for the technical availability of the testing environment, and is not liable for the Customer's ultimate business outcomes, funds, or compliance results. The environment is provided "as-is." To the maximum extent permitted by applicable law, TOSCM shall not be liable for any indirect, incidental or consequential loss.

This Agreement is governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

TOSCM reserves the right to require the Customer to undergo identity verification (KYC / KYB) and anti-money-laundering (AML) checks; the Customer warrants that the information provided is true and accurate. TOSCM collects only information necessary for integration testing and processes it under applicable data-protection laws.
